Learning Outcomes:

On completion of this module you should be able to:understand the operation of the legal system, explain in detail the ingredients of a contract, including offer, acceptance, consideration, intention to create legal relations and identify relevant caselaw. Detail the contents of the formation documents of a Limited Company and identify the duties of company directors and relevant caselaw.Understand the rules governing companies and their application, describe the work carried out by the Office of The Director of Corporate Enforcement and identify relevant case law.

Teaching Approach:
Students will attend classes for this module and have the opportunity to engage in active learning during these sessions. There will be in-class discussion and group work to analyse module concepts. Where appropriate, the module will incorporate case based learning.

Academic Integrity:
Students on this module are expected to have read and understood the UCD Academic Integrity Policy and the School Protocol on Academic Integrity. Students must ensure that they comply with all requirements laid down therein and they must avoid academic misconduct.

Use of AI:

Red: No AI use allowed.
Amber: Limited AI use (e.g., idea generation) with full disclosure.
Green: AI use permitted with proper acknowledgement.

Citation and Referencing:
Where an assessment specifies the use of legal sources, students should follow OSCOLA Ireland (latest edition). If an assessment requires the use of OSCOLA Ireland this will be clearly stated in the assessment instructions.
