This module examines the various legal provisions that are applicable to business generally and to accountants in particular. It covers company law and the principles and practice of corporate governance.

About this Module

Learning Outcomes:

On completion of this course students will be expected to be able to:

* Distinguish different legal forms of business organisation, the relevant registration rules and applicable legal code
* Identify what records must be retained, and what returns must be filed by a company, the relevant parties involved and the applicable timelines
* Outline the legal relationship between a company and its shareholders and advise on practical issues in relation to breaches of shareholders' rights
* Understand the relationship between a company and its directors, the powers and duties of directors and advise on practical issues in relation to breaches of directors' duties
* Apply the relevant rules in relations to disputes between a company and its creditors and the remedies available
* Identify the key principles of corporate governance and how to apply them in practical settings
* Outline the key corporate governance policies, the rationale behind them and how they apply in practice
* Analyse the application of corporate governance principles and policies and their interaction with company law rules

Approaches to Teaching and Learning:
The module is delivered primarily through classroom-based teaching, with class participation strongly encouraged. Each plenary lecture will look at the legal rules on the topic in question and apply them using real world examples. Students are required to read material in advance of class and to work through multiple choice questions and problem-style questions in class.
