This Course looks at the formation of companies and the the company's constitution; the separate legal personality of companies; shareholders' and directors' meetings and resolutions; shareholders' remedies and minority oppression; types of directors and their powers and duties; company accounts and returns and strike-off; types of share capital and share capital maintenance; receivership, examinership and liquidation; enforcement of company law.

About this Module

Learning Outcomes:

On completion of this course students will be expected to be able to:

* Explain the concepts of company law and insolvency law which will be covered in this course.
* Describe the main features of a comnany, the process of incorporation, the features of the internal management of companies, corporate governance and insolvency Law.
* Apply the concepts of Company Law to practical problems and situations.
* Examine and develop a critical application and knowledge of current developments in the areas of Company law and Insolvency law.

Approaches to Teaching and Learning:
The module is delivered primarily through classroom-based teaching, with class participation strongly encouraged. Each plenary lecture will look at the relevant company law rules on the topic in question, real world examples and past essay-style and problem-style questions.
