The objectives of this module are to enable participants:
• to understand and manage ‘agency problems’ through effective corporate governance, performance related pay and other arrangements.
• to evaluate mergers and acquisitions (‘M&A’), including the valuation of target companies and synergies, and the structuring of consideration.
• to appreciate the typical responsibilities and challenges facing finance functions within organisations, and the foundations required for the department to deliver the value-adding services discussed within this Diploma.

Learning Outcomes:

On completion of this module, students should be able to:

• Appreciate the potential significance of agency costs.
• Appreciate the critical elements within good corporate governance.
• Structure performance related pay to reduce agency costs.
• Critically evaluate the strategic rationale presented for M&A activity.
• Value equity and synergies within M&A transactions.
• Assess the structuring of M&A consideration.
• Assess the stage of development of a Finance function and possible paths to enhance the function.

Approaches to Teaching and Learning:
The module has a detailed study guide. Students are required to complete the module pre-reading or pre-work prior to attending the seminar sessions. The sessions themselves will be a combination of lectures, group discussion, in-class presentations, case study discussions and classroom exercises. A heavy emphasis in the seminars is on teasing out the implications of theory for practical application in a workplace context.
