Together with Advanced Company Law I, this module focuses on the law of companies in Irish law and in addition covers the required syllabus for the professional bodies in the subject Company Law.

The syllabus of topics which may be explored in this module includes:
Corporate finance;
Share capital and loans;
Allotment, transfer and transmission of shares;
Debentures and charges;
Receivers and receivership;
Corporate investigations; Amalgamations and reconstructions;
Windings up.

The module includes significant reference to English company law in addition to the primary focus which is on the law of Ireland, including the Companies Act 2014.

About this Module

Learning Outcomes:

On completing this module students will be expected to be able to:
- Describe, distinguish, and apply in detail the major legal principles governing Irish Company Law listed in the Module Outline ;
- Advise, in a range of given circumstances, on the optimum solutions for resolving company law problems;
- Critically assess specific aspects of Irish Company Law using a variety of techniques, including comparisons with the company laws or recommendations of other countries;
