This module seeks to introduce directors and prospective directors (i) to the role and functioning of boards of directors, including structural aspects of boards, and processes and dynamics that define effective boards; (iii) to the role and composition of nomination committees and the process of recruiting and selecting non-executive directors; and (iv) to the respective roles of executive and non-executive directors, including personal attributes, board processes and structures required to fulfill the role of director.

Learning Outcomes:

At the end of this module, students should be able to:

* Understand the role of the board and board committees in practice
* Appreciate best practice in relation to the functioning of boards of directors
* Understand the role of the nomination committee, including key elements in undertaking a formal recruitment and selection process for non-executive directors
* Understand the respective roles of executive and non-executive directors and board dynamics, in both practical business management and board governance contexts.
