This module seeks to introduce directors and prospective directors (i) to the practical application of governance theories in context of different types of organizations, ownership structures and related stakeholder base (ii) to the legal and regulatory framework for companies and directors; and (ii) to directors legal and ethical responsibilities.

About this Module

Learning Outcomes:

At the end of this module, students should be able to:

* Appreciate corporate governance in an overall business context, including origins, definitions, mechanisms, theories, and international developments
* Understand the legal context in which boards of directors operate
* Understand the legal and ethical responsibilities of directors
